Abu Dhabi's purpose-built legal structure for distributed ledger entities has become a magnet for tokenization projects.

A structure for the asset class

In 2023, the Abu Dhabi Global Market introduced the DLT Foundations Regime — a legal vehicle designed specifically for entities operating on distributed ledger technology. It was not another licence category bolted onto an existing framework; it was a new form of legal person, modelled on the foundation structure but adapted for decentralised governance.

The problem it solved was real. Tokenization projects and decentralised protocols had struggled to fit into conventional company law, where directors and shareholders map poorly onto token-based governance. The DLT Foundation provided a recognisable, regulated wrapper.

Why it landed

The regime's appeal was immediate among projects that needed both legal certainty and a credible jurisdiction. A foundation in ADGM offers the predictability of a common-law international financial centre, a regulator that understands the technology, and a structure that courts institutional counterparties.

Tokenization — the representation of real-world assets as tokens on a blockchain — has been the dominant use case. Funds, real estate, and private credit projects have incorporated under the regime, drawn by the combination of legal clarity and the ability to interface with traditional finance.

The broader picture

ADGM's move sits within a wider UAE strategy of differentiating its financial centres. Where Dubai's VARA regulates the trading of crypto assets, ADGM's regime addresses the entities and infrastructure beneath them. The two are complementary rather than competing, and together they give the UAE an unusually complete regulatory surface for digital assets.

The open question is volume. A legal structure is only as valuable as the activity it hosts. ADGM's early mover advantage is real, but other jurisdictions are now drafting comparable regimes. The foundation's durability will depend on whether the projects it houses mature into institutions.
